Event:
Tropicana Entertainment LLC, disclosed in a regulatory filing on Form 8-K with the U.S. Securities and Exchange Commission that it will repay its senior debt with proceeds of the sale of its Tropicana Casino and Resort in Atlantic City. The action is a result of the denial of the company's gaming license renewal application by the New Jersey Casino Control Commission. The Commission determined on Dec. 12, 2007 not to renew the company's license to operate the Tropicana Casino and Resort in Atlantic City, directing instead that control of the casino resort be transferred immediately to a trustee until the sale of the property to a third party can be arranged by the trustee. In the interim, the Tropicana will continue to operate under the direction of the trustee. Unless the company is successful in its appeal to stay or reverse the Commission's determination by Dec. 19, 2007, an event of default will result under the company's Senior Credit Facility, which could compel the company to seek alternatives, including bankruptcy protection.

The Company owns a number of trademarks registered with the U.S. Patent and Trademark Office, including “Belle of Baton Rouge,” “Lake Tahoe Horizon, “River Palms” and “Horizon.” it also has a number of trademark applications pending with the U.S. PTO. In addition, Tropicana Entertainment’s subsidiary Aztar, uses a variety of trade names, service marks and trademarks. Aztar has registered several service marks and trademarks or otherwise acquired the licenses to use those which are material to the conduct of its business. Aztar has registered the trademarks or service marks “Aztar,” “Casino Aztar,” “Trop,” “Tropicana,” “Trop Park,” and “The Island of Las Vegas.” Ramada, Inc. has licensed Aztar to use the name “Ramada” in conjunction with the operation of the Ramada Express.
