The auditor notes tha as a result of historical operating losses from prior operations, the Company had a total accumulated deficit of $17,911,540.

Intellectual Property:
On July 29, 2005, the Company entered into a master license agreement with MK Enterprises LLC for certain patent pending potential products and the expertise which will form the basis of patent-pending potential products. The Company has applied for registration of its trademarks in the United States in order to establish and protect brand names as part of its intellectual property assets. The Company has applied for registration of Dust Wolf™, Tomorrow Garden™, Valcent Nova, the Nova logo as well as various designs associated with the prospective Nova Skin Care product line.
