Event:
Malone & Bailey PC expressed substantial doubt on the ability of Earth Search Sciences, Inc. to continue as a going concern after auditing its financial statements. The Company has incurred loss from operations of $5,889,080 and $1,461,954 for fiscal 2007 and 2006, respectively, and had an accumulated deficit of $58,234,889 and a working capital deficit of $11,951,632 as of March 31, 2007.

Intellectual Property:
The Company's Petro Probe, Inc. subsidiary has signed a non-exclusive license agreement with General Synfuels International, Inc., which owns the world-wide proprietary rights, patent, technology, construction plans and materials and operational capability for a gasification process recover the oil and gas from oil shale. The Company has a development agreement with Intellisense Corporation LLC, to design and construct a third generation hyperspectral instrument design, which would allow for faster, less expensive and more precise data collection.
