The creditors of Earth Biofuels, Inc., petitioned for Chapter 7 proceedings on July 11, 2007, with the U.S. Bankruptcy Court in the District of Delaware, case number 07-10928, before Judge Christopher S. Sontchi. The petitioners include Castlerigg Master Investment Ltd., Evolution Master Fund Ltd. SPC, Radcliffe SPC, Ltd., Cornell Capital Partners LP and Portside Growth and Opportunity Fund.

Intellectual Property:
Effective February 28, 2006, the Company signed an agreement to become the exclusive licensor in the United States for the proprietary biodiesel production technology of Biodiesel Brazil. On June 12, 2006, the Company issued 537,500 shares of common stock to Biodiesel Venture, L.P. and 537,500 shares of common stock to Willie H.
